Chapter of the American Payroll Association

 

 

ARTICLE I - NAME

 

Section 1:        The name of this organization shall be the Washington Metropolitan Area Chapter of the American Payroll Association (WMAC-APA).

 

 

ARTICLE II - PURPOSE

 

Section 1:        The purpose of this organization is to provide educational opportunities, professional networking, and a forum for the exchange of information and experiences in the professional payroll environment for the benefit of its members.

 

 

ARTICLE III - MEMBERSHIP AND DUES

 

Section 1:        A member shall be a person actively engaged in or closely related to, the payroll function within his/her organization.

 

Section 2:        Membership is open to any individual who wishes to participate and contribute to the purpose of this organization in accordance with Article III, Section 3.

 

Section 3:        It is a condition of membership that members are expected to share their knowledge and experiences and to make a positive contribution to the association.

 

Section 4:        Chapter members shall be strongly encouraged also to establish and maintain membership in the national American Payroll Association.

 

Section 5:        The Officers shall determine the annual dues amount.  Annual dues shall be payable each year on the anniversary date of an individual’s first enrollment in the organization.  Members who fail to pay their prescribed dues and other obligations shall be dropped from the rolls and thereupon forfeit all rights and privileges of membership.  Upon payment of delinquent due or obligations, the member shall be reinstated.

 

 

ARTICLE IV - OFFICERS

 

 Section 1:        The officers of the WMAC shall be a President, President-Elect, Secretary, and Treasurer. The officers shall propose amendments to the bylaws for review by the Executive Committee and subject to approval by members in accordance with Article VII, Section 1.  The Executive Committee shall consist of all Officers, chairs of all committees, and past presidents.  The Executive Committee shall set administrative and fiscal policy to fulfill the goals of the organization as established in Article II, establish permanent and ad hoc committees as necessary for the implementation of such policy, and delegate authority and responsibility as necessary to such committees to fulfill their mandates. The Executive Committee shall make regular reports to the membership and shall solicit membership opinion concerning organization goals and activities.

 

Section 2:        Duties of the officers shall be as follows:

 

a)      The President shall lead, plan and direct activities of the WMAC, conduct and preside over meetings, and in concert with other members of the Executive Committee periodically form working committees to perform assigned tasks with the overall goal of ensuring full benefits to all members and fulfilling the goals of the chapter and of the national APA. The President shall be an ex-officio member of all committees.

 

b)      The President–Elect shall secure speakers for all meetings, assist the President in all administrative functions, and will fulfill/assume presidential responsibilities in the event of the President's absence or inability to complete the term of office.  Should this event occur, a new President-Elect shall be elected.

 

c)      The Treasurer shall be responsible for managing and collecting receivables, accounts payable, budgetary development & reporting, and maintaining financial records.

 

d)     The Secretary shall be responsible for recording minutes, resolutions, and votes and for keeping such other records and issuing such other communications as the Executive Committee shall determine necessary.

 

Section 3:        The term of office for all officers shall be one year.  Elections shall be held annually at the last regular meeting of the year.  Term of office shall begin on the succeeding January 1 and expire December 31 of that year.  All incumbent officers except the President can succeed themselves subject to vote for unlimited terms.  The President is limited to two consecutive one-year terms.

 

Section 4:        Any officer elected or appointed by the members may be removed by the members whenever, in their judgment, the best interests of the Association would be served thereby.  Removal of any Officer, with or without cause, shall be immediately effective upon presentation of a petition demanding such removal at any regular or special meeting of the members.  Such petition shall contain not less than 50% of the current regular members of the Association.  Any Officer absent from three consecutive meetings of members or three consecutive meetings of Officers without good cause shall upon majority vote of the Executive Committee be removed from office and so notified by the Executive Committee.  A vacancy in any office because of death, resignation, disqualification or otherwise, may be filled by the Executive Committee for the remaining portion of the term.

 

Section 5:        Nominations – No person may be a candidate in a chapter election who has not been nominated. During the month of January, the Executive Committee shall select a Nominations Committee chair.  The Committee chair will then select two other members, not more than one of whom shall be a member of the Executive Committee. The Secretary shall immediately notify the committee persons of their selection. It shall be the duty of the chair to call a committee meeting which shall be held on or before November 1st.  All proceedings of the nominating committee shall be confidential.

 

a.       The nominating committee shall nominate one candidate for each office noted in Section I and after securing the consent of each person so nominated shall immediately report their nominations to the Secretary in writing.

 

b.      Upon receipt of the nominating committee's report, the Secretary shall before November 15th, notify each chapter member in writing of the candidates so nominated.

 

c.     Additional nominations may be made at the last regular meeting of the year by any member in attendance provided that the person so nominated accepts when his or her name is proposed and provided further that if the proposed candidate is not in attendance at this meeting, the individual who proposed the member for nomination shall present to the Secretary a written statement from the proposed candidate signifying his or her willingness to be a candidate.

 

d.    No person may be a candidate for more than one position.

 

ARTICLE V - VOTING

 

Section 1:        On all voting matters, there is to be one vote per individual member.  Voting may be by written proxy delivered to the President.

 

Section 2:        Decision is by simple majority of individual members present or voting by proxy except as noted in Article IV, Section 4 and Article VII.  A quorum will not be required.

 

Section 3:        The President shall not vote unless it becomes necessary to break a tie.

 

 

ARTICLE VI - MEETINGS

 

Section 1:        General chapter meetings shall be held on a regular basis, generally bimonthly, the specific dates to be determined by the Executive Committee. All effort will be made so as to not conflict with meetings of the national American Payroll Association.

 

Section 2:        A calendar of topics and locations for chapter meetings will be established and communicated to the membership.

 

Section 3:        Meetings of this chapter shall be conducted in accordance with Roberts Rules of Order except where superseded by other Articles within this constitution.

 

Section 4:        Board meetings consisting of the officers, the immediate past president, committee chairpersons, and all former past presidents of the WMAC who wish to participate shall be held at a time and place at the discretion of the President.

 

ARTICLE VII - AMENDMENTS

 

Section 1:      These bylaws may be amended by a two-thirds vote at any meeting of the Chapter.
